Terms and Conditions of Use of InZero Evaluation Kit

These terms and conditions govern your (“Your” or “You”) use of the “InZero Evaluation Kit,” to which You agree by Your acceptance of the Evaluation Kit.

1. The InZero Evaluation Kit Provided Free of Charge.

The Evaluation Kit consists of three (3) InZero Gateways and related Management Console software. Any greater or lesser number of InZero Gateways is erroneous, and You are requested to notify us in such event. The Evaluation Kit is provided to You free of charge, including shipment costs to and from your location.

2. Intent and Permitted Use.

The intent and permitted use of the Evaluation Kit is to install and operate the InZero Gateways to evaluate and determine if the InZero Security Platform serves and suits your needs. You are hereby granted a limited license for such purposes only. No other use is permitted, and the InZero Gateways may not be disassembled, modified, or otherwise installed or used in any way except as instructed by the accompanying official Installation, User and Administration Guides.

3. Non-commercialized Test Product and Absence of any Warranty, Guaranty or Liability.

You acknowledge and agree that the Evaluation Kit Gateways are not commercialized products, and are instead “Prototypes, For Test Only.” This means that the Evaluation Gateways do not have all of the features and functions contemplated for fully commercial Gateways, which are in development. This includes the absence of FCC Part 15 certification, and only subsequent Gateways which have such certification may and will be offered for sale or licensing to customers. You further acknowledge and agree accepting and using the Evaluation Kit Gateways “AS IS”, You assume risk of any harm or damage that the Evaluation Kit may cause, and You acknowledge and agree that UNDER NO CIRCUMSTANCES WILL INZERO HAVE ANY ECONOMIC LOSS, INCLUDING DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES OF ANY NATURE OR KIND WHATSOEVER, REGARDLESS OF THE NATURE OF LEGAL CLAIM OR THEORY ASSERTED AGAINST INZERO, AND REGARDLESS OF WHETHER ANY SUCH LOSS WAS FORSEEBABLE OR LIKELY KNOWN TO INZERO.

4. InZero Systems Property and Return.

You acknowledge and agree that at all times, the Evaluation Kit is the property or InZero Systems and will be returned upon InZero Systems’ request (at InZero Systems’ expense) in the condition in which the Gateways were received by You, You hav responsibility for any damage caused as a result of Your (including employees or other agents) negligent, reckless or intentional acts.
